		Robert S. Briggs Company Director, Former President and CEO, Bangor Hydro Electric Company, Carrabassett Valley, Maine Prior to 2001, Mr. Briggs was the president and chief executive officer of Bangor Hydro Electric Company. He started with the company as a director in 1985 and became president and chief executive officer in 1991. Mr. Briggs became a director of the company in 2001 and is currently a member of the Audit Committee. Mr. Briggs is enjoying semi-retired life in Carrabassett Valley, Maine.

		Tom Buchanan President and CEO, Provident Energy Trust, Calgary, Ontario Mr. Buchanan serves as president and chief executive officer of Provident Energy Trust. In 1993, he established Founders Energy, which was converted into Provident Energy Trust in 2001. Mr. Buchanan is a member of Provident's Board of Directors and a director of Athabasca Oil Sands Corp. and Hawk Exploration Ltd. He is also the chairman of Renfrew Educational Services and a director of the Edge School. Mr. Buchanan is a member of the Audit Committee as well as the Nominating and Corporate Governance Committee. He has been a director of the company since 2009.

		George A. Caines, Q.C. Partner, Stewart McKelvey, Halifax, Nova Scotia Mr. Caines is a partner in the Halifax office of Stewart McKelvey, an Atlantic Canadian law firm. Mr. Caines is currently the Chair of the Board of Nova Scotia Power Inc., a subsidiary of Emera, where he has been a Director since 1995. He is also President of the Neptune Theatre Foundation, a member of the Canadian Tax Foundation, Past Chairman of the Tax Subsection of the Canadian Bar Association Nova Scotia Branch, former member of the Joint Committee of the Canadian Bar Association and Canadian Institute of Chartered Accountants on Taxation. From 1998 to 2006, Mr. Caines was a member of the Emera Board of Directors, returning to the Board in 2009.

		Dr. Gail Cook-Bennett Chair, Canada Pension Plan Investment Board, Toronto, Ontario Dr. Cook-Bennett is chair of the Canada Pension Plan Investment Board, vice chair of the Board of Manulife Financial and a director of Petro-Canada. She became a director of the company in 2004 and is chair of the Nominating and Corporate Governance Committee. Dr. Cook-Bennett is a Fellow of the Institute of Corporate Directors.

		Allan L. Edgeworth President, ALE Energy Inc., Calgary, Alberta Mr. Edgeworth is president of ALE Energy Inc., and is a director of AltaGas Ltd. and Pembina Pipeline Income Fund. He is the former president and chief executive officer of Alliance Pipeline and he is a commission member and director of the Alberta Securities Commission. Mr. Edgeworth is also the former president and chief executive officer of Alliance Pipeline. Mr. Edgeworth became a director of the company in 2005 and is a member of the Management Resources and Compensation Committee as well as the Nominating and Corporate Governance Committee.

		Christopher G. Huskilson President and CEO, Emera Inc., Halifax, Nova Scotia Mr. Huskilson has been a director and the president and chief executive officer of Emera Inc. since 2004. He is also chairman of Bangor Hydro-Electric Company and a director of Nova Scotia Power Inc. He has held a number of other positions within Nova Scotia Power Inc. and its predecessor, Nova Scotia Power Corporation, since joining the company in 1980. As well as serving as either chair or director of a number of other Emera-affiliated companies, Mr. Huskilson also dedicates his time to such external organizations as the Greater Halifax Partnership, the Nova Scotia Community College and the Energy Council of Canada.

		John T. McLennan, Chair Chairman, Emera Inc., Former Vice Chairman and CEO, Allstream Inc., Mahone Bay, Nova Scotia Mr. McLennan is the former vice chair and chief executive officer of Allstream Inc. and currently sits on a number of boards including ACE Aviation Holdings Inc., Jazz Air Holding GP Inc. and Amdocs Ltd. He is also a trustee of Medisys Health Group Income Fund and Aeroplan Income Fund. He has been a director of the company since 2005 and has recently been named chair. As well, he has been chairman of the board of Nova Scotia Power Inc. since 2006. Mr. McLennan is a member of the Management Resources and Compensation Committee as well as the Nominating and Corporate Governance Committee.

		Derek Oland, O.C. Company Director, Executive Chairman, Moosehead Breweries Limited, New River Beach, New Brunswick Mr. Oland is executive chairman of Moosehead Breweries Limited. He has been a director and chairman of the board of the company since 1998. He has also been a director of Nova Scotia Power Inc. since 1992 and was chairman of Nova Scotia Power Inc. from 1995 to 2006. He has recently retired as chairman of the board of The Johnson Corporation and Unifund Assurance Company and as a director of Royal and Sun Alliance Insurance Company.

		Dr. Elizabeth Parr-Johnston, O.C. President, Parr Johnston Economic and Policy Consultants, Chester Basin, Nova Scotia Dr. Parr-Johnston is the president of Parr Johnston Economic and Policy Consultants. She is the former president and vice-chancellor of the University of New Brunswick and Mount Saint Vincent University. Dr. Parr-Johnston has been a director of the company since 1998 and is the chair of the Management Resources and Compensation Committee and a member of the Nominating and Corporate Governance Committee. From 1992 to 2006, Dr. Parr-Johnston was a director of Nova Scotia Power Inc.

		Donald Pether Company Director, former Chair of the Board (and CEO) of Dofasco Inc., Hamilton, Ontario Prior to his position as Chair, Mr. Pether, who joined Dofasco Inc. in 1970, was the President and Chief Executive Officer. Mr. Pether is currently Chair of the Board of the Hamilton Health Sciences Foundation, is Vice-Chair of the Board of Governors for McMaster University, and is Chair of the Board of the McMaster Innovation Park. He sits on the Council of Governors for the Art Gallery of Hamilton and the Board of Directors of Samuel Manu-Tech Inc. and is a former trustee of the Fording Canadian Coal Trust Board. He has been a director of the company since 2008.

		Andrea S. Rosen Company Director, Former Vice-Chair, TD Bank Financial Group and President, TD Canada Trust, Toronto, Ontario Ms. Rosen is the former vice-chair of TD Bank Financial Group and president of TD Canada Trust. She was appointed as director of the company in 2007 and is a member of Emera’s Audit Committee. Ms. Rosen is also a director of Hiscox Ltd. and Alberta Investment Management Corporation.

		Jackie Sheppard Company Director, former Executive Vice-President, Corporate & Legal Affairs Talisman Energy Inc. Ms. Sheppard is the former Executive Vice-President, Corporate & Legal of Talisman Energy Inc. She also served as Secretary to the Board, responsible for Legal Affairs, Business Development, Mergers and Acquisitions, Corporate Projects, Corporate Communications, Investor Relations, Corporate Responsibility and Government Affairs. Ms. Sheppard also sits on the Board of Directors of NWest Energy Inc. She has been a director of the company since 2009.
